Confidentiality & Non-Disclosure Agreement
For Epic Wealth Summit ticket buyers and attendees
Version 2026-09-25-draft
1. Who this Agreement is between
This Confidentiality & Non-Disclosure Agreement (this “Agreement”) is between The HedgeStone Group LLC (“HedgeStone,” “we,” “us,” or “our”) and you, the person who buys a ticket to or attends the Epic Wealth Summit on December 16, 2026 at the Paramount Theater in Huntington, New York (the “Event”).
At the Event, and before and after it, we may share information about businesses that are or may be for sale, and about the people and deals behind them. Business owners share that information with us on the condition that it stays confidential. This Agreement is what allows us to share it with you.
2. Purpose
We share Confidential Information with you only so that you can decide whether to pursue a potential purchase, sale, investment, financing, or other transaction through HedgeStone (the “Purpose”).
This covers the business listings and deal information presented at or in connection with the Event, including on the Deal Bidding Floor, in the Deal Room, at the Investor Desk, during the HedgeStone Action Experience, and during the Private Dealmakers Experience.
3. What counts as Confidential Information
“Confidential Information” means any non-public information that we, a business owner, or anyone acting for either of us discloses or makes available to you at or in connection with the Event, in any form. It does not matter whether the information is spoken, written, electronic, shown on a screen, or handed out, or whether it is marked confidential.
Confidential Information includes: (a) the identity of any business that is or may be for sale, and the fact that it is for sale; (b) the identities of its owners and sellers, and of its employees, landlords, customers, suppliers, and lenders; (c) financial statements, tax returns, revenue, earnings, cash flow, valuations, asking prices, and other financial information; (d) deal terms, offers, bids, letters of intent, and the status of any negotiation; (e) business plans, operating methods, trade secrets, and customer lists; and (f) any notes, analyses, summaries, or other materials that you or your Advisors (defined in Section 4) prepare that contain or reflect any of the above.
4. What you agree to do
You agree that you will: (a) use Confidential Information only for the Purpose; (b) keep Confidential Information strictly confidential and not disclose it to anyone, except as this section allows; (c) not copy, photograph, screenshot, or make an audio or video recording of any Confidential Information, including presentations and listing materials shown at the Event, without our written permission; (d) protect Confidential Information with at least reasonable care; and (e) tell us promptly in writing if you learn of any use or disclosure of Confidential Information that this Agreement does not allow.
You may share Confidential Information with your own attorneys, accountants, financial advisors, and lenders (your “Advisors”), but only to the extent they need it to help you with the Purpose, only after you tell them it is confidential, and only if they are bound by duties of confidentiality at least as protective as this Agreement. You are responsible for any breach of this Agreement by your Advisors.
5. No going around HedgeStone
While this Agreement is in effect, you will not, directly or indirectly, including through an affiliate, a family member, or anyone acting for you: (a) contact any owner or seller of a business you learned about through the Event, or any of that business’s employees, landlords, customers, suppliers, or lenders, about that business or any transaction involving it, except through HedgeStone or with our prior written consent; or (b) buy, invest in, finance, lease, or otherwise acquire any interest in that business or its assets other than through HedgeStone.
This section does not restrict ordinary dealings that have nothing to do with a transaction, such as being a customer of the business. It also does not apply to a business owner with whom you had a documented business relationship before we disclosed the business to you, as long as you tell us about that relationship in writing promptly, and before you contact that owner about a transaction.
6. What is not Confidential Information
Confidential Information does not include information that: (a) is or becomes available to the public through no fault of yours or your Advisors; (b) you already knew, without any duty of confidentiality, before it was disclosed to you, as shown by your written records; (c) you receive from someone else who is free to share it with you; or (d) you develop independently without using any Confidential Information.
If a law, regulation, court order, or subpoena requires you to disclose Confidential Information, you may disclose only the part that is legally required. Where the law allows, you must first give us prompt written notice so that we or the business owner can seek a protective order, and you must reasonably cooperate with that effort.
Nothing in this Agreement stops you from reporting a possible violation of law to a government agency, or from making any other disclosure that the law protects.
7. No obligation to do a deal, and no license
This Agreement does not require you, us, or any business owner to enter into any transaction. Any transaction will be governed only by a separate written agreement signed by the parties to it.
We do not give you any license or other right in any Confidential Information. Confidential Information is provided “as is.” Neither we nor any business owner makes any promise about its accuracy or completeness, except as a separate signed agreement may provide. You are responsible for your own review of any business or transaction.
8. Returning or destroying information
When we ask, you will promptly return or destroy all Confidential Information that you or your Advisors have, including copies, notes, and summaries, and confirm to us in writing (email is fine) that you have done so. If a law requires you to keep a copy, you may keep only that copy, and it remains subject to this Agreement.
9. How long this Agreement lasts
This Agreement starts when you accept it and ends two (2) years after the date of the Event. Your duties for any Confidential Information that is a trade secret under applicable law continue for as long as it remains a trade secret. The end of this Agreement does not end your responsibility for a breach that happened before it ended.
10. If this Agreement is broken
A breach of this Agreement could cause us and the business owners serious harm that money alone could not fix. So, in addition to any other remedy available to us, we may ask a court for an injunction or other order to stop or prevent a breach, without having to prove actual damages and, to the extent the law allows, without posting a bond. You are also responsible for any damages caused by a breach by you or your Advisors.
11. Governing law and where disputes are decided
This Agreement is governed by the laws of the State of New York, without regard to its conflict-of-laws rules.
Either party may bring an action for an injunction or other court order to enforce this Agreement in the state or federal courts located in Suffolk County, New York, and you consent to the jurisdiction of those courts for that purpose. This applies even though the Terms of Service send most other disputes to arbitration. Any other dispute about this Agreement is resolved as the Terms of Service describe.
12. Accepting this Agreement electronically
You accept this Agreement by checking the agreement box when you buy your ticket. Checking the box has the same legal effect as signing this Agreement by hand. We keep a record of your acceptance with your order, including the version of this Agreement you accepted and the date and time you accepted it.
If your ticket is transferred to someone else, the new ticket holder must accept this Agreement before attending the Event.
13. How this Agreement relates to the Terms of Service
This Agreement adds to the Epic Wealth Summit Terms of Service (the “Terms”) and does not replace them. If this Agreement and the Terms conflict about Confidential Information, this Agreement controls.
In particular, the statements in the Terms that Event participation creates no confidential relationship, and that we do not guarantee the confidentiality of conversations between attendees, do not limit your obligations under this Agreement.
We may update this Agreement for future ticket purchases. The version you accepted continues to apply to you unless you accept a later version.
14. General terms
You may not assign or transfer this Agreement without our written consent. We may assign it to an affiliate or to a successor to our business.
If any part of this Agreement is found unenforceable, it will be enforced to the fullest extent allowed, and the rest of this Agreement stays in effect. If we do not enforce a right, we have not waived it.
This Agreement and the Terms are the entire agreement between you and us about Confidential Information. Notices to us under this Agreement go to info@hedgestone.com.
